Assets and Liabilities. Shall mean all assets of the Company, including but not limited to those listed on Exhibit A attached hereto ("Assets") and incorporated herein by this reference, together with the liabilities of the Company listed in the MIS-USA column on Exhibit A ("Liabilities").
