Assigned Nominal Revenue. Shall mean the fixed amounts payable by customers during the twelve months following the Closing Date under all Non-affiliated Customer Contracts and Non-Contracted Accounts assigned to HFC, assuming that such customers' contracts (or, in the case of Non-Contracted Accounts, the customer's current level of business with the Business) will remain in effect during such entire 12-month period, such customers will not exercise any termination... rights that they may have under such contracts, and taking into consideration any reduction in such fees or payments that were conceded by HCS in order to obtain any Required Customer Consent for any such contract; provided, however, that if a customer has informed HCS or HFC that such customer intends to terminate, or not renew, its contract or relationship with the Business, or intends to materially reduce or is considering a material reduction of services from the Business, in each case during such 12-month period, then the information provided by such customer will be taken into account in calculating the Assigned Nominal Revenue.
