Assumed Options

Assumed Options. Shall mean Company common stock and options to purchase Company common stock issued to the Employee in accordance with the terms of the Merger Agreement pursuant to the exchange of Target common stock and the assumption of options to purchase Target common stock both of which were held by the Employee as of the effective date of the Merger.
