ATT Affiliate. Any entity which, directly or indirectly, is controlled by AT&T Mobility LLC, or any partnership, joint venture, consortium or other such entity in which AT&T Mobility LLC or any of the entities controlled by or under common control with AT&T Mobility LLC ("AT&T Entities") have any material form of ownership or any managerial interest.
