ATV Transaction

ATV Transaction. Collectively, (i) the sale and issuance of Capital Stock of ATV to Verizon Media LLC representing up to approximately 24.5% of the voting and economic interests therein and (ii) the sale and issuance of additional Capital Stock of ATV to HDS II, Inc. to maintain its ownership percentage of approximately 24.5% of the voting and economic interests therein, in each case, pursuant to the terms of the ATV Unit Purchase Agreement.
