ATV Unit Purchase Agreement. The Unit Purchase Agreement dated as of April 5, 2016, by and among ATV, ATV Inc., DW Animation, HDS II, Inc., a Delaware corporation, and Verizon Media LLC, a Delaware limited liability company, as in effect on the First Amendment Effective Date, and any amendments thereto to the extent that such amendments, taken as a whole, are not adverse in any material respect to the interests of the Lenders.
