Audit

Audit. Means to inspect, audit and copy Borrower's books and records and the Collateral.

Audit. Shall mean an audit of the Services, in the case of eRT, and an audit of any services provided by Covance, in the case of Covance.

Audit. Means an audit pursuant to which CLIENT or their appointed representatives (such representatives to be reasonably acceptable to COOK) may (a) review the processes, procedures and documents of COOK that are used or maintained by COOK to provide the Services, (b) assess COOK's compliance with CGMP, Applicable Laws and quality assurance standards associated with performing the Services, and (c) discuss any related issues with COOK' personnel and management involved in performing the Services.

Audit. Examination of each and every document relating to the licenses and rights granted herein, including but not limited to books, records, agreements, communications, shipping records, purchase orders, invoices, credit memos and record of payments received or made by a nationally recognized public accounting firm.
