Authorized Officer

Authorized Officer. Means the Chairman of the Board or the Chief Executive Officer of the Company (or any other senior officer of the Company to whom either of them shall delegate the authority to execute any Award Agreement, where applicable).

Authorized Officer. Means Mac J. Slingerlend, or such other officer or employee of the Borrower whose authority to perform acts to be performed only by an Authorized Officer under this Agreement is evidenced to UMB by a certified copy of an appropriate resolution of the Board of Directors of the Borrower.
