Authorized Representative

Authorized Representative. (i) a director, officer, employee, agent or fiduciary of the Company or any Subsidiary and (ii) a person serving at the request of the Company or any Subsidiary as a director, officer, employee, fiduciary or other representative of another corporation, partnership, limited liability company, joint venture, trust, employee benefit plan or other enterprise.

Authorized Representative. Means an individual who is authorized to represent a Claimant with respect to any claims or appeals filed pursuant to these procedures. Whether an individual is an Authorized Representative will be determined by the Plan Administrator in accordance with reasonable procedures established by the Plan.

Authorized Representative. Any officer, agent, employee, or independent contractor retained or employed by either party, acting within the authority given him or her by that party.

Authorized Representative. Shall mean Scott Rechler, Michael Maturo, Jason Barnett or any other person or persons designated by Borrower, in a writing delivered to Lender, as an Authorized Representative.

Authorized Representative. Means, with respect to the Company, either Joseph Turek or Paul Schmitt, or any other officer, employee or other person authorized to perform the act in question by the by-laws or a resolution of the Company filed with the Bank; and, with respect to Poly Circuits either Joseph Turek or Paul Schmitt, or any officer, employee or other person authorized to perform the act in question by the by-laws or a resolution of Poly Circuits filed with the Bank. 29

Authorized Representative. Shall mean each person designated from time to time, as appropriate, in writing by the Makers to the Bank for the purposes of giving notices of borrowing of Revolving Credit Loans, which designation shall continue in force and effect until terminated in writing by the Makers to the Bank.

Authorized Representative. Means Robert F. Gossett, Jr. or any other person or persons designated by Borrower, in a writing delivered to Agent, as an Authorized Representative.

Authorized Representative. Means a person authorized to execute and deliver the Loan Documents and modifications, amendments and restatements of Loan Documents, as set forth in a borrowing resolution or otherwise designated by Borrower in writing from time to time in a form acceptable to Lender. Each Authorized Representative is also an Authorized Lender Portal User.

Authorized Representative. Of the Pledgor means any officer or other representative as to whom Pledgor shall have delivered notice to the Collateral Agent that such officer or other representative is authorized to act hereunder on behalf of Pledgor.

Authorized Representative. Shall mean (i) the Administrative Agent with respect to the Credit Agreement, (ii) the Initial Additional First Lien Authorized Representative with respect to the Initial Additional First Lien Documents and (iii) any duly authorized representative of any Other Additional First Lien Creditor under any Additional First Lien Documents designated as "Authorized Representative" for such Other Additional First Lien Creditor pursuant to and in accordance with the Security Agreement.
