Average Base Compensation

Average Base Compensation. The Executive's "Average Base Compensation" for purposes of this Agreement shall be deemed to mean the average amount of Base Salary received by the Executive from the Employers or any subsidiary thereof during the most recent three calendar years immediately preceding the Date of Termination.
