Example Definitions of "Averaging Period"
Averaging Period. Shall mean the ten consecutive Trading Days ending on and including (i) for purposes of the payment of a dividend in shares of Common Stock in respect of a Dividend Record Date pursuant to Section 4(a) below, the second Trading Day immediately preceding such Dividend Record Date, and (ii) for purposes of payment of the Redemption Price in Common Stock pursuant to Section 12(g) below, the fifth Trading Day immediately preceding such Fundamental Change Redemption Date. For the avoidance of doubt,... if any scheduled Trading Day commencing on, and including, the tenth scheduled Trading Day preceding such second scheduled Trading Day preceding such Record Date, or preceding such fifth scheduled Trading Day preceding such Fundamental Change Redemption Date, as applicable, shall not be a Trading Day pursuant to the definition thereof (a "Disrupted Day"), then, for purposes of calculation the Daily VWAP for such Disrupted Day, the Daily VWAP for the immediately preceding Trading Day shall be deemed to be the Daily VWAP for such Disrupted Day.
