Award Shares

Award Shares. A number of shares of Common Stock (the "Award Shares") equal to the Earned Value divided by the greater of (i) the Fair Market Value of one share of Common Stock on the Grant Date and (ii) the Fair Market Value of one share of Common Stock on the Determination Date.

Award Shares. Shall mean all Shares subject to this Award, without distinction between whether such Shares are Available Shares, Restricted Shares and/or Vested Shares.

Award Shares. Shall mean all Shares subject to this Award, including, without limitation, both Restricted Shares and Vested Shares.

Award Shares. Shall mean any Common Shares originally subject to an Award that is granted to a Participant during an applicable Plan Period.

Award Shares. Shares subject to an Award granted pursuant to this Plan

Award Shares. The Common Shares issued by the Company in payment of the Award

Award Shares. The meaning set forth for such term in the Value Sharing Equity Program.

Award Shares. Means fully-paid, nonassessable shares of Class A Common Stock that are issued pursuant to, and with such restrictions as are imposed by, the terms of this Plan and the Guidelines. Such shares may be shares of original issuance, treasury shares or a combination of the foregoing and, in the discretion of the Company, may be issued as certificated or uncertificated shares.

Award Shares. The shares of Common Stock underlying an Option or Restricted Stock granted to an Employee.

Award Shares. Means shares of Restricted Stock, shares of Common Stock and Units acquired pursuant to an Award.
