Years of service (including calendar months) that may be imputed to Executive by the Compensation Committee ("Committee") of the Board of Directors of ITC (the "Board"), taking into account the value to the Company of Executive's prior experience. Awarded Service is determined by the sole discretion of the Committee. As of May 10, 2005, Executive has 2 years and 2 months of Awarded Service.
