Barclays CoBranded Consent. Shall mean that certain Loyalty Partner Consent to Assignment, dated as of the Closing Date, by and among Barclays Bank Delaware, the Exhibit 10.24(b) Execution Version Parent Guarantors, the Borrowers and the Collateral Agent, as supplemented by Supplement No. 1 to Loyalty Partner Consent to Assignment, dated as of the Amendment No. 1 Effective Date, by and among Barclays Bank Delaware, the Parent Guarantors, the Borrowers and the Collateral Agent.
