Base Annual Salary

Base Annual Salary. Means the annualized value of the Employee's salary, based on the most recent pay period, prior to a Change of Control.

Base Annual Salary. Means the greater of (1) the highest annual rate of base salary in effect for the Executive during the twelve (12) month period immediately prior to a Change in Control, or (2) the annual rate of base salary in effect at the time a Notice of Termination is given (or on the date employment is terminated if no Notice of Termination is required).

Base Annual Salary. Shall mean the greater of the Executive's annual base salary (i) at the rate in effect on the Termination Date or (ii) at the highest rate in effect at any time during the ninety day period prior to a Change in Control, and shall include all amounts of his/her base salary that are deferred under any qualified or non-qualified employee benefit plans of the corporation or any other agreement or arrangement, but shall not include amounts paid or payable as bonuses.

Base Annual Salary. Shall mean the base annual compensation, excluding profit-sharing, RONA, bonuses, commissions, overtime, relocation expenses, incentive payments, non-monetary awards, expatriate premiums and differentials, or perquisites paid or provided to the Executive for employment services rendered to the Corporation, before reduction for compensation deferred pursuant to all qualified, non-qualified and Code Section 1 125 plans... of the Corporation. Base Annual Salary. Shall be equal to the greater of: i. the employee's annual salary excluding bonuses and special incentive payments on the date of the earliest Change of Control to occur during the Covered Period, or ii. the employee's annual salary excluding bonuses and special incentive payments on the date of the Employee's termination of employment from the Company or an Affiliate.

Base Annual Salary.
