Base Salary

Base Salary. With respect to a Participant means the rate of annual base salary paid to the Participant by the Company Group immediately preceding the Participant's Date of Separation.

Base Salary. The annual base salary, as referred to in Section 3 (Base Salary), of the Employment Agreement.

Base Salary. Shall have the meaning set forth in Paragraph 5(a) hereof.

Base Salary. Executive's annual salary; it shall not include any other benefits and special allowances for which Executive is eligible (e.g., bonuses). If Executive's annual salary is adjusted following the Effective Date of this Agreement, the adjusted annual salary would then represent Executive's Base Salary.

Base Salary. Executive's base salary in effect as of the date of Executive's employment termination or death, as applicable, and calculated without giving effect to any reduction that would give rise to Executive's right to resign for Good Reason or any reduction implemented during the Change in Control Period.

Base Salary. The salary of record paid to the Executive as annual salary, excluding amounts received under incentive or other bonus plans, whether or not deferred; provided, that if the Executive's annual salary is reduced under circumstances constituting Good Reason, Base Salary shall be determined based on the Executive's annual salary as in effect prior to such reduction.

Base Salary. The annual rate of base pay paid by the Company to or for the benefit of the Participant for services rendered, including, as applicable, overtime, bonuses paid to a Participant who passes an actuarial exam, and bonuses paid in lieu of a raise, provided that such amounts are paid on substantially the same terms as base pay

Base Salary. The annual rate of base pay set forth in Section 5.1, as such amount may be adjusted from time to time
