Base Salary

Base Salary. Your annual gross salary on the date of the Effective Date before any deductions, exclusions or any deferrals or contributions under any Company plan or program

Base Salary. The Participant's base salary or regularly scheduled wages on a calendar year basis immediately prior to his Termination Date, but excluding all other elements of compensation including overtime, bonuses, perquisites, commissions, restricted stock awards, stock options, retirement benefits, welfare benefits, or any other payments (disregarding any reduction that gives rise to Good Reason under this Plan)

Base Salary. The Employee's annual base salary as in effect at the time of such termination, and the Base Salary calculated for purposes of this Agreement shall not reflect any voluntary salary reductions that may be in effect at the time of such termination

Base Salary. The annual base salary rate in effect immediately prior to a Qualified Termination, without giving effect to any decrease in such Base Salary occurring within 90 days of such date that would provide the Covered Executive with the right to resign for Good Reason

Base Salary. Executive's annual base salary rate in effect as of immediately prior to Executive's Qualifying Termination. For the avoidance of doubt, Executive's Base Salary shall not include any bonus, commission or other incentive compensation.

Base Salary. A Participant's annual base salary as in effect on the date on which the applicable Performance Goals are established with respect to a Performance Period.

Base Salary. With respect to a Participant, the higher of (i) the Participant's annual base salary as in effect on the date immediately prior to the start of the Change in Control Protection Period, or (ii) the Participant's annual base salary as in effect on the date of the Participant's Qualifying Termination

Base Salary. The Employee's annual base salary, as determined by the Company from time to time

Base Salary. Your annual base salary as in effect immediately prior to the termination of your employment (or, if clause (i) or (ii) of "Good Reason" is implicated, immediately before any relevant diminution of your Base Salary)

Base Salary. Means the Executive's annual base compensation rate for services paid by the Company to the Executive at the time immediately prior to the Effective Date, as reflected in the Company's payroll records and which the Board may increase (but not decrease).
