Base Value

Base Value. The amount equal to the Pre-Announcement Average Value multiplied by the Fully Diluted Shares Outstanding immediately prior to the Announcement. Base Value. The value assigned to a Performance Unit by the Board as of the date of grant pursuant to Section 4(b) of the Plan.
