Basic Fee

Basic Fee. The annual retainer specified in a dollar amount payable to a Director during each Plan Year (at the rate in effect on the Accounting Date of such Plan Year) for such Director's services on the Board (exclusive of the Annual Share Fee and of any amounts payable with respect to service on a committee of the Board or other committee of Directors or for attendance at Board or committee meetings)
