BAXTER LICENSED KNOWHOW

BAXTER LICENSED KNOWHOW. Shall mean all Baxter Know-How in existence as of the Effective Date or created or acquired during the term of the Cooperative Development Work, but not after December 31, 1998 unless such Know-How is used in a System that is sold pursuant to this Agreement or the parties shall otherwise agree in writing.
