Ben Material Adverse Effect

Ben Material Adverse Effect. Means a material adverse effect on the results of operations, assets, business or condition (financial or otherwise) of Ben NV and its subsidiaries, taken as a whole, or a delay, impairment or adverse effect on Ben NV's and its Affiliates' respective ability to consummate the Transactions or perform in any material respect on a timely basis its obligations under any Primary Transaction Agreement.
