Benchmark Amount

Benchmark Amount. The cumulative distributions that must be made by the Company pursuant to the LLC Agreement before a Grantee is entitled to receive any distributions in respect of such Grantee's Profits Interest Units. The Benchmark Amount as of the initial effective date of the Plan is $231,372,549.02.
