Best Price. Shall mean the actual number of shares of Calypte common stock transferred to Ani at any given time which shall be determined by using the 5-day average closing stock price for Calypte common stock as listed on the American Stock Exchange (AMEX) immediately before the date of said transfer, provided however, the price at the time of transfer is equal to or greater than the Threshold Price.
