Block Sale. The sale of shares of Company Common Stock constituting more than 1% of Company Common Stock then outstanding to one or more purchasers in a registered transaction without a prior marketing process by means of (i) a bought deal, (ii) a block trade or (iii) a direct sale
Block Sale. Means the sale of a number of shares of Common Stock representing at least 1.0% of the outstanding shares of Common Stock to one or several purchasers in a registered transaction by means of (i) a bought deal, (ii) a block trade or (iii) a direct sale.
