Board Chair Option

Board Chair Option. Means a right to purchase shares of Common Stock granted to the Board Chair pursuant to Section 6 of the Program that does not qualify as an "incentive stock option" within the meaning of Section 422 of the Code. The amount of shares underlying a Board Chair Option is set forth on Exhibit A hereto, and may be amended from time to time by the Board or the Committee.
