Board Representation Percentage. The number, expressed as a percentage, determined by dividing the number of Investor Designees the Investor was entitled to designate prior to the change in the size of the Board by the total number of directors that comprised the full Board (including in this total any vacancies) prior to the change in the size of the Board.
