A written offer delivered to the Company which specifies, at a minimum, the principal terms of the proposed Change in Control, including, without limitation, the aggregate Proceeds to the Company's stockholders, the proposed structure of the Change in Control and any major conditions to closing
Bona Fide Offer. A written offer from a financially responsible Person or Persons (i) identified therein by name and address, (ii) reasonably appearing able to comply with the terms of such offer and (iii) unaffiliated with the Investors.
