BOND HOLDER EXCHANGE TRANSACTION. The term "Bond Holder Exchange Transaction" shall mean that certain subordinate bond holder exchange transaction on the terms and conditions outlined in that certain term sheet dated October 19, 2001 (the "BOND HOLDER EXCHANGE TRANSACTION LETTER"), a copy of which is attached hereto as Exhibit E, and which 11 was consummated pursuant to the documents listed on Schedule 1.1(kkkk) hereto (the "BOND HOLDER EXCHANGE DOCUMENTS").
