That certain Agreement dated as of June 18, 2002 between Company and the Bonds Issuer, as assigned to the Bonds Trustee pursuant to the Bonds Indenture, as in effect on the date hereof and as amended, supplemented or otherwise modified in a manner permitted by the Agent's Loan Agreement.
