Bridge Financing

Bridge Financing. Means, collectively, this Note, the Ciabattoni Note, the SMP Note and any other notes that the Company issues in conjunction with its February 2009 bridge financing.

Bridge Financing. A combination of at least $10,000,000 in the aggregate in unsecured loans and/or a non-voting, first-in, last-out tranche of the Revolving Commitments (as defined in the Credit Agreement) from one or more of the holders of the equity interests in the Parent that satisfies the requirements of the Lenders.

Bridge Financing. Shall mean the Company's private offering of an aggregate subscription amount of up to $2,000,000 through the issuance of common stock to certain accredited investors from June through February 2010.

Bridge Financing. Has the meaning assigned to it in the recitals hereof.

Bridge Financing. Has the meaning given it in the recitals of this Agreement.

Bridge Financing. Means such unsecured convertible financings to be issued from time to time in compliance with the Stockholders Agreement to one or more existing stockholders (or their Affiliates) of the Borrower in an aggregate amount not to exceed $3,000,000.

Bridge Financing. The private offering the Company completed on March 2, 2015.

Bridge Financing. Means the consummation of an offering of the Company's equity securities (or other debt or equity instruments convertible into or exercisable for the Company's equity securities) in one or a series of related transactions, the principal purpose of which is to raise capital, which transaction or series of related transactions result in the Company receiving gross proceeds of not less than $5,000,000
