Cap Redemption Amount. An amount equal to: V x M ------ CP where: "V" means the outstanding liquidation value plus accrued dividends through the date of payment of the Cap Redemption Amount for the redeemed shares ("Payment Date"); "CP" means the Conversion Price in effect on the Redemption Date (as defined below) ...
