Capital Distribution. Shall mean the distribution by Assignor to Assignee immediately after the Assignment and Assumption of the shareholder's equity of Assignor at such time less the Retained Capital Amount, as further described in the Plan of Capital Distribution attached hereto as Exhibit 1.
