Capital

Capital. All capital or all components of capital, other than any allowance for loan and lease losses and net of any intangible assets, as defined from time to time by the primary federal regulator of the Borrower, each Bank, or each of the other Bank Subsidiaries (as the case may be)

Capital. Of a Borrower means the sum of Book Net Worth plus Subordinated Debt of such Borrower plus the lesser of (a) the amount of Debt that was formerly Subordinated Debt payable to Agri-Laboratories, Ltd. but that has been forgiven and is booked as a long-term liability, such as deferred revenue, or (b) $500,000.

Capital. Means, as of the end of any Year, the total of (i) paid-in capital, plus (ii) surplus, plus (iii) retained earnings, as set forth on the Company's audited balance sheet as of the last day of such Year.

Capital. Means the net investment employed in the operations of the Company, adjusted for LIFO inventory, present value of operating leases, goodwill amortization, major capital projects, and major nonrecurring adjustments.

Capital. Shall consist of any funds advanced by Purchaser's parent, SmartPros Ltd., ("Purchaser's parent"), for the Initial Purchase Price and for future working capital and asset requirements, in each case, without the charging of interest. Such advances will be reflected on Purchaser's financial statements as either capital, loans, or advances, or a combination thereof. Capital may increase or decrease over the life of the Earnout Period
