Cash Compensation

Cash Compensation. Cash Compensation. Shall mean the sum of (x) the higher of the Executive's annual base salary at (i) the time the Notice of Termination provided for in Section 15 of this Agreement is given or (ii) immediately prior to a Change in Control, and (y) an amount equal to the highest aggregate Cash Bonus Earned by the Executive under all cash bonus plans of the Company for any of the three fiscal years immediately preceding the year in which the Date of Termination occurs. Cash Compensation. Shall mean the cash payments a Non-Employee Director is entitled to receive in a year for service on, and attendance at meeting of, committees of the board of directors of the Company or any Parent or Subsidiary of the Company.
