Means such amounts for the Borrower and its Consolidated Subsidiaries as reported in the financial statements required to be delivered pursuant to Sections 6.01(a) and (b) of the Agreement prepared in conformity with GAAP applied on a consistent basis, as in effect from time to time, in a manner consistent with that used in preparing the audited financial statements for the year ended December 31, 2006.
