Cash Portion
Cash Portion. Is (A) Twelve Million Five Hundred Thousand Dollars ($12,500,000) reduced by (B) the liabilities of MDC that will not be paid in cash at Closing that are not Permitted Liabilities or Special Liabilities. Copyright royalty fees, the collection of which is barred by an applicable statute of limitations, does not constitute a liability.
