Example Definitions of "Cash Value"
Cash Value. Shall mean in the case of cash the actual amount of such cash, and in the case of Publicly Traded Securities, the closing price of such Publicly Traded Securities on the day of the closing of the Sale Transaction, or if such day is a weekend or holiday, the closing price of the Publicly Traded Security on the most recent full trading day on the exchange or market on which the Publicly Traded Securities are traded or quoted. Cash Value. Means the value of the Shares credited to a Participant's Share Award Account, which shall be determined as follows: if the Shares in the Participant's Share Award Account (A) are retained in the Trust or sold to the Company or a Subsidiary, based on the Fair Market Value as of the date on which the Participant's Termination Date occurs, or (B) are sold to any person other than the Company or a Subsidiary to effect a distribution in cash, the net proceeds of any such sale;... provided that, any sale by the Trustee to effect a distribution hereunder shall be effected as of the last day of the month in which the Participant's Termination Date occurs. Cash Value. The term "Cash Value" shall have the meaning set forth in Section 4 of this Agreement.
