Cause. For purposes of this Agreement, 'Cause' means, in the reasoned discretion of the Company (i) any act of criminal or fraudulent misconduct by Employee in connection with Employee's responsibilities as an employee of the Company that is intended to result in Employee's personal enrichment, (ii) Employee's arrest for or conviction of a felony or other crime that may materially reflect negatively on the Company, (iii) breach of a fiduciary duty owed by Employee to the Company or its stockholders,... or (iv) continued failure to diligently and reasonably perform Employee's job duties and Obligations after, in the first instance of such failure only, Employee has been given written notice of such noncompliance and Employee has had a minimum of thirty (30) days to cure such noncompliance, if such failure is reasonably susceptible to cure.
