Certificate Amendment
Certificate Amendment. Means an amendment to the Amended and Restated Certificate of Incorporation that has the effect of increasing the number of authorized and unreserved shares of Common Stock, whether through an increase of the number of authorized shares of Common Stock or through effecting a reverse stock split, sufficient for the exercise in full of (i) each warrant issued by the Company pursuant to the PIPE Agreement (ii) the Warrant issued pursuant to this Agreement as contemplated by the RemeGen License.
