Certification Date

Certification Date. Means the date on which the Committee certifies whether the Performance Goals have been met under the Performance Award Formula and whether any reductions in the Maximum Awards should be made on account of the degree of achievement of the Other Performance Goals.

Certification Date. Certification Date. Shall mean the date on which the Committee certifies in writing the Company's Pre-Tax Earnings and Return on Invested Capital for the Performance Period. In the event the Measurement Date is December 31, [Year 3], the Certification Date will occur prior to February 15, [Year 4]; provided, however, that in the event of a Change in Control after December 31, [Year 3], the Certification Date shall occur no later than the date of such Change in Control. Certification Date.
