Certified PSUs. The sum of the following: (A) the Earned PSUs (as defined and determined in accordance with Section 3(c) of this Exhibit A) plus (B) the Earned PSUs (as defined and determined in accordance with Section 4(c) of this Exhibit A), subject to the terms of Section 2 of this Exhibit A.
