Change in Circumstances. Shall mean the occurrence of any one or more of the following: (i) A material diminution in Employee's base compensation (except in conjunction with an across-the-board base compensation reduction for executives of the Company), authority, duties or responsibilities from those in effect immediately prior to the date a Change in Control occurs.
