Change in Control Date

Change in Control Date. Shall mean the earliest "Change of Control Date" applicable to Participant under the Rights Plan if the circumstances necessary for a "Change of Control Date" under the Rights Plan should occur.

Change in Control Date. Shall be any date during the term of this Agreement on which a Change in Control occurs. Anything in this Agreement to the contrary notwithstanding, if Executive's employment or status as an elected officer with the Company is terminated within six (6) months before the date on which a Change in Control occurs, and it is reasonably demonstrated that such termination (i) was at the request of a third party who has taken steps reasonably calculated or intended to effect a Change in Control or... (ii) otherwise arose in connection with or anticipation of a Change in Control, then for all purposes of this Agreement the "Change in Control Date" shall mean the date immediately before the date of such termination. Change in Control Date. The earliest of (i) the date on which the Change in Control occurs, (ii) the date on which the Company executes an agreement, the consummation of which would result in the occurrence of a Change in Control, and (iii) the date the Board approves a transaction or series of transactions, the consummation of which would result in a Change in Control. If the Change in Control Date occurs as a result of an agreement described in clause (ii) of the previous sentence or as a result of the approval of... the board described in clause (iii) of the previous sentence and the Change in Control to which such agreement or approval relates (the "Contemplated Change in Control") subsequently does not occur, then the term shall expire on the sixtieth day (the "Reset Date") following the date the Board certifies by resolution duly adopted by a majority of the Directors then in office that the Contemplated Change in Control is not reasonably likely to occur; provided, however, that this sentence shall not apply if (A) an Involuntary Termination of your employment with the Company has occurred on and after the Change in Control Date and on or prior to the Reset Date of (B) the Contemplated Change in Control subsequently occurs within three months of the Reset Date. Change in Control Date. The date six months prior to the date of the Change in Control.

Change in Control Date. Means the date of closing with respect to a transaction, the consummation of which results in a Change in Control.

Change in Control Date. Shall mean the first date following the date of the Agreement on which a Change in Control has occurred.

Change in Control Date. The date which includes the "closing" of the transaction which results from a Change in Control or, if there is no transaction which results from a Change in Control, the date of such Change in Control as reported by the Company to the Securities and Exchange Commission.

Change in Control Date. Shall mean the earliest date on which one of the events described in the definition of "Change in Control" occurs, as determined by the Board of Directors, in its sole discretion, provided that, if Section 2.2.4 of the definition of "Change of Control" applies, the Change in Control Date shall be deemed to be the date of the agreement, provided that the transaction does close.

Change in Control Date. Shall mean the date of the consummation of a Change in Control.

Change in Control Date. For purposes of this Agreement, the "CHANGE IN CONTROL DATE" shall mean the date of the consummation of a Change in Control.
