Example Definitions of "Change of Control Amount"
Change of Control Amount. Means, with respect to one share of Series B-1 Preferred Stock, 101% of the Accrued Value on the Change of Control Payment Date (treating such date as a Dividend Accrual Date for purposes of calculating the Accrued Value on such date); provided, that if the Change of Control occurs prior to the third anniversary of the Original Date of Issue, the Change of Control Amount shall be calculated assuming the Change of Control had occurred on the third anniversary of the Original Date of Issue (and... assuming that no dividends had been paid in cash or converted into Series B-2 Preferred Stock with respect to such share from the actual date of the Change of Control through the third anniversary of the Original Date of Issue). Change of Control Amount. Means, with respect to one share of Class H Preferred Stock, the greater of (i) 125% of the Liquidation Amount per share on the Change of Control Payment Date or (ii) the per share amount a holder of Class H Preferred Stock would have received had he exercised his right to convert a share of Class H Preferred Stock into shares of Common Stock immediately prior to the issuance of a Change of Control.
