Change of Control Termination

Change of Control Termination. Means an Involuntary Termination or Constructive Termination, in either event during the period commencing six (6) months prior to the earlier of (i) the date that the Company first publicly announces it is conducting negotiations leading to a Change of Control (a "Public Announcement"), or (ii) the date that the Company enters into a definitive agreement that would result in a Change of Control (even though still subject to approval by the Company's stockholders and other conditions and... contingencies (a "Definitive Agreement"); and ending on the earlier of (x) the date on which the Company announces that the Definitive Agreement described in clause (ii) above has been terminated or that the Company's efforts to consummate the Change of Control contemplated by the Public Announcement or the Definitive Agreement have been abandoned or (y) the date which is twenty-four months after the Change of Control. Change of Control Termination. A termination of employment within twelve (12) months following a Change of Control where (a) the Company or a party effecting a Change of Control of the Company terminates the Executive's employment without Cause, other than as the result of the Executive's death or Permanent Disability, or (b) the Executive resigns with Good Reason.

Change of Control Termination. (i) a Termination Without Cause or (ii) a Termination for Good Reason, in either case within four (4) months prior to, on, or within one (1) year after, a Change of Control

Change of Control Termination. Employee's employment by the Company, or any of its subsidiaries or affiliates, is terminated without Cause or Employee resigns in a Resignation for Good Reason, in either case subsequent to the signing of an agreement, the consummation of which would result in a Change of Control, or within 12 months following the effective date of a Change of Control

Change of Control Termination. A termination of the Covered Employee's employment by the Company without Cause or by the Covered Employee for Good Reason, in either case within the eighteen (18) months following a Change of Control

Change of Control Termination. Means (i) an Involuntary Termination Without Cause, or (ii) a Constructive Termination, in either case that occurs within the period starting three months prior to a Change of Control and ending on the first anniversary of the Change of Control.

A termination of the Covered Executive's employment either by the Company without Cause (not including by reason of death or Disability) or by the Covered Executive for Good Reason, in either case so long as the Separation Date, the date on which the Company gives the Covered Executive notice of his or her termination, or the date that the Covered Executive provides written notice of Good Reason occurs within the two-year period immediately following the Effective Time

Change of Control Termination. An Involuntary Termination within six months prior to, or 12 months following, a Change of Control. For the avoidance of doubt, a termination may be either an Involuntary Termination or a Change of Control Termination, but not both.
