Example Definitions of "Change of Control Termination"
Change of Control Termination. Shall have occurred if Employee's employment by the Company, or any of its subsidiaries or affiliates, is terminated without Cause or Employee resigns in a Resignation for Good Reason, in either case within 12 months following the effective date of a Change of Control.

Change of Control Termination. Shall mean a termination of Executive's employment with the Company within the 12-month period beginning on the date upon which a Change of Control occurs, which termination of employment is by the Company without Cause or by Executive within 60 days of an event that constitutes Good Reason.
