Change of Control Termination
Change of Control Termination. Shall have occurred if Employee's employment by the Company, or any of its subsidiaries or affiliates, is terminated without Cause or Employee resigns in a Resignation for Good Reason, in either case within 12 months following the effective date of a Change of Control.
Change of Control Termination. The termination of employment of Executive within twelve (12) months after a Change of Control (i) by the Bank under Paragraph 4.1.5; or (ii) by Executive under Paragraph 4.2 for Good Cause.
