Example Definitions of "Changed Circumstance"
Changed Circumstance. Shall be deemed to have occurred if, within one year of any Change in Control, any of the following occur: (i) the Executive is terminated for any reason other than cause, (ii) the duties and responsibilities of the Executive are materially changed without the Executive's agreement, (iii) the Executive's salary or benefits are reduced, or (iv) there is a change of greater than 50 miles in the location of Executive's place of work.
Changed Circumstance. Shall be deemed to have occurred if, at any time during the term of the Agreement, any of the following occur: (i) the Executive is terminated for any reason other than cause, (ii) the gathering and marketing business of Genesis Crude Oil, L.P. is sold or substantially eliminated, (iii) New York Mercantile Exchange memberships 445 and 119 are sold, (iv) the Executive's salary is reduced, (v) the risk management function for the crude oil business is substantially eliminated, or (vi) there is a... change of greater than 50 miles in the location of Executive's place of work.
