CHANGEINCEO. Shall mean the replacement of Henry L. Nordhoff as Chief Executive Officer of Gen-Probe; provided, however that (a) no Change-in-CEO will occur if the successor to Mr. Nordhoff has been an employee of Gen-Probe for at least the one-year period preceding the date on which he or she is appointed CEO and (b) no Change-in-CEO will occur if Mr. Nordhoff remains as Chairman of Gen-Probe.
