Example Definitions of "Charter Amendment"
Charter Amendment. Shall have the meaning ascribed thereto in the Preamble to this Agreement.
Charter Amendment. Means the Amended and Restated Certificate of Incorporation, in the form attached hereto as Exhibit A.
Charter Amendment. Means the Certificate of Amendment to the Certificate of Incorporation, in the form attached hereto as Exhibit D.
Charter Amendment. An amendment to the Certificate of Incorporation that increases the Common Stock authorized for issuance (which may be effected by way of a reverse split of the issued and outstanding Common Stock without a proportionate decrease in the authorized shares) such that the Company has and maintains a sufficient number of shares of authorized and unissued Common Stock to permit the valid issuance of the Registrable Shares (including through the Second Closing)
Charter Amendment. The Second Amended and Restated Certificate of Incorporation approved by the Board of Directors of the Company on July 15, 2011.
Charter Amendment. The Amendment to the Amended and Restated Certificate of Incorporation of Veritone, Inc., as filed with the Secretary of State of the State of Delaware on August 15, 2016.
