Charter Documents

Charter Documents. Means contacting documents and by-laws, and all amendments thereto;

Charter Documents. Shall mean the agreements and instruments listed on EXHIBIT A hereto, as each of the same may hereafter be amended, restated, replaced, supplemented or otherwise modified from time to time.

Charter Documents. Means the Articles of Incorporation, Bylaws or other similar governing document, as amended, of the Company or any Subsidiary, as applicable.

(i) with respect to the Operating Partnership, the First Amended and Restated Agreement of Limited Partnership of Westfield America Limited Partnership, dated as of August 3, 1998, as the same may have been amended, modified or supplemented or may in the future be amended, modified or supplemented and in effect from time to time, and (ii) with respect to WEA, the Restated Articles of Incorporation of Westfield America, Inc., dated May 16, 1997, as the same may have been amended, modified or... supplemented (including as supplemented by the Certificate of Designation relating to the Series B Preferred Stock, the Certificate of Designation relating to the Series C Preferred Stock, the Certificate of Designation relating to the Series C-1 Preferred Stock, the Certificate of Designation relating to the Series C-2 Preferred Stock, the Certificate of Designation relating to the Series D Preferred Stock, the Certificate of Designation relating to the Series D-1 Preferred Stock, the Certificate of Designation relating to the Series E Preferred Stock and the Certificate of Designation relating to the Series F Preferred Stock) or may in the future be amended, modified or supplemented and in effect from time to time. Charter Documents. Means the Restated Certificate and By-laws of the Company as in effect on the date hereof, copies of which are attached hereto as Exhibits A and B, respectively.

Charter Documents. Means the Company's Operating Agreement (including the Certificates of Designations thereto), the Bylaws of the Company and the restrictions on transfer and assignment contained therein and in the Company's Transfer Application.
