CLC Transaction

CLC Transaction. Means the transaction providing for "Earnout Payments" to the CLC Earnout Recipients described in that certain Stock and Asset Purchase Agreement dated March 21, 1997, between (among others) AMRESCO and the CLC Earnout Recipients, as amended (subject to the approval of the Lenders if and to the extent required under Section 10(a) of the Second Modification).
